Bookham Sells JCA Technology

OXFORDSHIRE, England, July 22 -- Bookham Technology plc, a provider of optical components, modules and subsystems, announced it has sold its subsidiary JCA Technology Inc. to Endwave Corp., a Sunnyvale, Calif., provider of radio frequency (RF) subsystems for aero-defense, security and commercial wireless applications, for $6 million in cash.

JCA Technology, a San Jose-based RF and microwave products manufacturer, was acquired by Bookham through its acquisition of New Focus Inc. in March 2004.

Bookham said the sale highlights its strategy to focus on its core optical business, following its announcement in May 2004 to implement further cost reduction initiatives, including rationalization of its product portfolio.

Steve Turley, chief commercial officer at Bookham, said, "We believe that the combination of Endwave and JCA will strengthen both businesses, allowing them to focus on their core activities and create additional value for their customers."

John Mikulsky, senior vice president of sales, marketing and technology for Endwave, said, "This acquisition is strategically important to Endwave in building our defense and homeland security business base, and is complementary to our existing portfolio of RF module products for these markets. In addition, we expect the acquisition of JCA to broaden our product offerings and strengthen our ties to familiar customers such as Raytheon, Northrop Grumman, Lockheed, L3 and Boeing."
