Perkin Elmer Inc.

In Massachusetts, !%Perkin Elmer Inc.%! of Waltham has signed a definitive agreement to acquire Caliper Life Sciences Inc. of Hopkinton for $10.50 per share, for a total net purchase price of about $600 million in cash. Caliper specializes in imaging and detection technology for the life sciences research, diagnostics and environmental markets. PerkinElmer said that the acquisition brings innovative technology to its portfolio and that the Caliper team will be a strong addition to its organization. The transaction is expected to close in the fourth quarter of 2011.

Caliper also announced that it has favorably settled two lawsuits with medical imaging systems provider Carestream Health Inc. of Rochester, N.Y. The first, filed in February 2010, alleged that Carestream’s marketing and sales of its instrument systems induced infringement by Stanford University of seven imaging patents licensed exclusively to Xenogen, a wholly owned subsidiary of Caliper. In the second lawsuit, filed in July 2010, Carestream alleged that Caliper’s Lumina XR system infringed on US Patent No. 7,734,325. Carestream has agreed not to market and sell in vivo optical imaging systems for certain applications covered by patents licensed from Stanford by Xenogen and Caliper, and it will not assert that the Lumina system as currently configured and sold by Caliper infringes any of its patents.
