US Requests More Data on Proposed Merger of JDS Uniphase, E-TEK Dynamics
NEPEAN, Ontario, Apr. 5 -- JDS Uniphase Corp. and E-TEK Dynamics Inc. have received requests from the Antitrust Division of the US Department of Justice for additional information and other documentary material regarding the planned merger of the two companies. The requests, which were made under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, were received on March 31, 2000; these requests extend the waiting period under the Act.
Both companies reported that they intend to respond promptly and fully to the government requests, and that they still expect to finalize the transaction in the second calendar quarter of 2000, as was planned at the time of the merger announcement on January 17, 2000. The merger agreement between the two companies calls for E-TEK shareholders to receive 2.2 shares of JDS Uniphase common stock for each common share of E-TEK held. The merger is subject to the approval of E-TEK stockholders, regulatory approvals and other standard closing conditions.
