US Asks JDS Uniphase and SDL for More Information
NEPEAN, Ontario, Canada, Aug. 25 -- JDS Uniphase Corp. and SDL Inc. will comply with the US Justice Department's request for more data concerning the companies' pending merger. The request, issued under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, was made late yesterday.
The merger agreement between JDS Uniphase and SDL, which entails the trade-off of 3.8 shares of JDS Uniphase common stock for each common share of SDL, was made in July of this year. The merger is subject to the approval of SDL and JDS Uniphase stockholders, US and Canadian regulatory approvals and other customary closing conditions.
The Justice Department's request is not unusual in mergers involving new, rapidly changing technologies, said JDS Uniphase. The two companies still hope to finalize the merger by the original deadline set for the fourth quarter of this year.
