Following the April 2 announcement of their proposed merger, Alcatel and Lucent Technologies announced today they have filed a registration statement with the US Securities and Exchange Commission (SEC). The statement includes Alcatel's preliminary prospectus offering Alcatel American Depositary Shares and underlying Alcatel ordinary shares in the proposed merger transaction, and a proxy statement by Lucent Technologies in connection with a special meeting of Lucent Technologies stockholders to vote on the combination. The registration statement, which is available to the public, is subject to amendment and completion at the discretion of the SEC.
